跨国企业的治理结构和借鉴

摘要

跨国经营是经济全球化以及企业发展到一定历史阶段的产物，是企业参与国际市场经营的高级形式 ，跨国经营是企业充分利用产品生命周期的需要 ，是实现国际资源转移的有效手段 ，也是企业充分挖掘并综合利用自身优势的必然结果。20世纪60~70年代，跨国公司作为一支不容忽视的力量出现在国际政治经济舞台上，其治理结构不仅代表着最先进的方向，也具有其复杂性——特别是跨国经营中母公司及子公司的治理结构。同时，今天在经济全球化下中国企业不仅面对的是跨国公司进入中国市场的竞争，也存在走出去跨国经营的情况，这时世界各国的跨国公司的治理机制无疑是很好的借鉴。

Abstract:
Multinational operation is an outcome of economy globalization and enterprises developing in a certain history stage. It’s the advanced mode when enterprisesparticipate international market operation. Multinational operation is the requirement for enterprises to exploit life of products sufficiently, the effective means to transfer international resource, and the infallible result for enterprises to thoroughly unearth and utilize own advantages. When the MNCs as a can’t be neglectful power appears on the international polity and economy arena in 60-70 years 20 century, its corporate governance not only represents the most advanced direction but also has its complexity—especially the corporate governance of the parent company and subsidiary company in multinational operation. At the same time, the chinese enterprises not only face the competition of the MNCs in Chinese market under the economic globalization, but also hxdye to go out to multinational operate, here, the corporate governance in the world must be good use for reference.
